1. Provider identification
The service XHR — Knowledge HR (the "Service") is operated by THXU OÜ, a company incorporated under the laws of the Republic of Estonia (the "THXU", "we"). Any notice may be sent in writing to the contact channels published on the site.
2. Acceptance
By registering, accessing or using the Service you accept these Terms and Conditions and our Privacy Policy. If you do not agree, do not use the Service.
3. Description of the Service
XHR is a multi-tenant SaaS platform that lets companies upload documents and connect Human Resources sources so their employees can get curated answers through an artificial intelligence assistant. The scope of features depends on the contracted plan (Free, SME or Enterprise).
4. Accounts and user responsibility
- You must provide truthful information when creating your account and keep it up to date.
- You are responsible for keeping your credentials confidential.
- The company administrator is responsible for managing their employees' access.
- You may not use the Service for illegal, harmful activities or activities that violate third-party rights.
5. Customer content
The documents, texts and data you upload to the Service ("Customer Content") remain your property. You grant us a limited, non-exclusive, worldwide license to process them for the sole purpose of providing the Service (including indexing, generating embeddings and delivering assistant responses).
6. Plans, pricing and billing
- Prices are shown in US dollars (USD) unless stated otherwise.
- Payments are processed through Stripe. THXU OÜ does not store full card data.
- Subscriptions renew automatically at the end of each period until you cancel them.
- You may cancel your subscription at any time from the billing portal; you retain access until the end of the paid period.
- Unless legally required, no refunds are issued for partial periods.
7. Acceptable use
It is prohibited to:
- Upload illegal, defamatory content or content that infringes intellectual property rights.
- Perform reverse engineering, automated scraping or attempts to breach the Service's security.
- Share credentials between users or resell the Service without written authorization.
- Use the Service to make automated decisions with legal effects on individuals without adequate human oversight.
8. Third-party services
The Service integrates with providers such as Google (authentication, Drive), Stripe (payments) and infrastructure and AI model providers. Use of these integrations is also subject to those third parties' terms.
9. Availability and changes
We strive to keep the Service available, but we do not guarantee uninterrupted availability. We may modify or discontinue features, giving reasonable advance notice when the change is substantial.
10. Limitation of liability
To the maximum extent permitted by law, THXU OÜ will not be liable for indirect damages, lost profits or data loss. THXU OÜ's total aggregate liability to the customer will not exceed the amounts actually paid by the customer in the 12 months prior to the event giving rise to the claim.
11. Termination
We may suspend or terminate your access upon breach of these Terms. Upon termination, you may export your data within a reasonable period, after which it may be deleted.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Estonia. Any dispute will be submitted to the competent courts of Tallinn, Estonia, without prejudice to any non-waivable consumer rights in your country of residence.
